Artchi Gallery - Artist Contract

The Gallery agrees to represent the Artist and to promote and sell the Artist's artwork on a non-exclusive basis. The Artist agrees to provide the Gallery with the right to display and sell the artwork on a non-exclusive basis.

1) Commission

The Gallery will receive 30% percent of the sale price for each artwork sold through the Gallery. The Artist will receive the rest of the sale price, after shipping and transaction costs, for each artwork sold through the Gallery.

2) Delivery and Shipping

The Artist agrees to deliver or ship the artwork to the customer in a timely manner and in good condition. The Artist is responsible for all shipping and handling fees and any customs duties or taxes. The Gallery will provide the Artist with any necessary shipping instructions and will assist the Artist with the shipping process as needed.

3) Pricing and Payment

The Artist will set the prices for the artwork in consultation with the gallery. The Gallery will pay the Artist for any artwork sold within 14 days after the artwork is delivered. If the artist would like to receive the money via bank transfer, 3% will be deducted from total amount. If Artist would like to receive the money via PayPal, there will be no commission.

4) Exhibition and Promotion

4.a The Gallery will promote the Artist's artwork through exhibitions, marketing materials, and social media channels. The Artist agrees to participate in any exhibitions or events organised by the Gallery and to provide the Gallery with any promotional materials, such as artist bios, artwork descriptions, and images.

4.b We are committed to promoting your artwork and increasing its exposure to art lovers and collectors. As part of this effort, we may offer up to 15% discount on the sale of your artwork for a limited time period at our discretion.

5) Termination

Either party may terminate this Agreement by giving 14 days written notice to the other party. Upon termination, the Gallery will return any unsold artwork to the Artist in good condition.

6) Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, and any disputes arising under this Agreement shall be resolved in accordance with the laws of the United Kingdom.

7) Insurance

7.a The Artist is responsible for insuring the artwork while it is in transit to the Gallery and while it is in the Gallery's possession.

7.b The Gallery is responsible for insuring the artwork while it is in the Gallery's possession, up to the amount of the sale price, against loss or damage due to fire, theft, or other causes.

7.c The Gallery's insurance policy does not cover any damages caused by the Artist's negligence or intentional misconduct.

7.d The Gallery will provide the Artist with a copy of its insurance policy upon request.

8) Copyright

8.a The Artist retains ownership of the copyright in the artwork.

8.b The Gallery is authorized to reproduce images of the artwork for the purpose of promoting and selling the artwork, subject to the Artist's approval of any promotional materials.

8.c The Artist agrees to indemnify and hold harmless the Gallery from any claims of copyright infringement arising from the use of the artwork.

9) Liability

9.a The Artist is responsible for any damage or loss of the artwork while it is in transit to the Gallery.

9.b The Gallery is responsible for any damage or loss of the artwork while it is in the Gallery's possession, except for damages caused by the Artist's negligence or intentional misconduct.

9.c The Gallery's liability for any damages or losses is limited to the amount of the sale price of the artwork.

9.d The Artist agrees to indemnify and hold harmless the Gallery from any claims arising from the artwork or its use in connection with the Gallery's activities.

10) Tax

10.a The Artist is responsible for paying all applicable taxes related to the sale of their artwork, including sales tax, use tax, and any other taxes or fees that may be required by law.

10.b The Gallery will collect and remit sales tax on behalf of the Artist, in accordance with applicable laws and regulations.

10.c The Gallery will provide the Artist with a report of all sales and taxes collected on a regular basis, in a format and frequency to be agreed upon by the parties.

10.d The Artist is responsible for ensuring that all information provided to the Gallery related to taxation is accurate and up to date, and for promptly informing the Gallery of any changes or updates to tax requirements.

10.e The parties agree to comply with all applicable tax laws and regulations, and to provide each other with any information or assistance necessary to comply with such laws and regulations.

11) Data Protection

11.a The gallery may collect and process personal data of the Artist, such as name, address, email, and phone number, in order to perform its obligations under this Agreement.

11.b The personal data will be processed for the purpose of promoting and selling the Artist's artwork, managing the contractual relationship between the parties, and complying with applicable laws and regulations.

11.c The Gallery will take appropriate technical and organizational measures to ensure the security of the personal data, and to prevent unauthorized access, disclosure, alteration, or destruction.

11.d The personal data will be retained for the duration of the contractual relationship between the parties, and for a reasonable period thereafter as required by law or for legitimate business purposes.

11.e The Artist has the right to access, rectify, and erase personal data concerning him or her, and to object to the processing of such data in certain circumstances. The Gallery will assist the Artist in exercising these rights to the extent required by applicable law.

11.f The Gallery will keep the personal data confidential and will not disclose it to any third party without the Artist's prior written consent, except as required by law or to the extent necessary to perform its obligations under this Agreement.

12) General Restrictions

12.a The Artist agrees not to disclose any confidential or proprietary information of the Gallery to any third party without the prior written consent of the Gallery, except as required by law or to the extent necessary to perform its obligations under this Agreement.

12.b The Artist agrees not to circumvent the Gallery's business relationship with any of its clients or customers, whether by directly soliciting or accepting orders or sales from such clients or customers, or by inducing or encouraging such clients or customers to breach their contracts or agreements with the Gallery.

12.c The Artist may not assign or transfer any of its rights or obligations under this Agreement without the prior written consent of the Gallery.

12.d The Artist agrees to comply with all applicable laws and regulations, including but not limited to those related to intellectual property, taxation, data protection, and export control.

12.e The Artist agrees to act in good faith and with due care and diligence in performing its obligations under this Agreement, and to avoid any behavior or activity that may damage the reputation or business interests of the Gallery.


13) Entire Contract

This Contract constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between them. This Contract may be modified only in writing signed by both parties.
